Movemama Ambassador Program Agreement

This Ambassador Agreement (“Agreement”) governs participation in the Movemama Apparel Ambassador Program (“Program”) and is entered into between Movemama Apparel (“Company”) and the individual participating in the Program (“Ambassador”).

By applying for or participating in the Program, Ambassador agrees to the following terms.

1. Program Participation

The Movemama Ambassador Program allows selected individuals to receive Movemama products in exchange for creating authentic photo and video content featuring the products.

Ambassadors may be asked to create and submit content including but not limited to:

lifestyle photos
product photos
short-form videos
testimonials
social media content

Participation in the Program is voluntary and Ambassador is not considered an employee, contractor, or representative of the Company.

2. Compensation

Ambassadors are not paid monetary compensation for participation in the Program.

Compensation for participation consists solely of:

Movemama products or apparel provided to the Ambassador.

Ambassador acknowledges that receipt of product constitutes full consideration for their participation and content creation.

Ambassador is not entitled to:

payment
royalties
usage fees
advertising revenue
residual compensation

for any content created under this Agreement.

3. Affiliate Participation (Optional)

Some Ambassadors may also participate in the Movemama Affiliate Program.

Affiliate participation is governed by a separate Affiliate Agreement.

Affiliate commissions, if applicable, are not part of the Ambassador Program compensation.

4. Content Creation & Delivery

Ambassadors agree to create authentic content featuring Movemama products and submit such content to Company via a designated Dropbox folder or other file-sharing system provided by Company.

Content may include:

photos
videos
raw image files
edited content
testimonials
product demonstrations

Ambassador agrees to upload files as requested by Company in the formats requested when reasonably possible.

5. Content License & Usage Rights

Ambassador retains ownership of the original content they create.

However, by participating in the Program and submitting content to Company, Ambassador grants Company a perpetual, worldwide, irrevocable, royalty-free, sublicensable, and transferable license to use the submitted content (“Ambassador Content”).

Company may use Ambassador Content for any lawful marketing or business purpose including but not limited to:

paid advertising (Meta, Instagram, Facebook, TikTok, Pinterest, Google, YouTube, etc.)
organic social media content
website content and product pages
email marketing and SMS marketing
digital marketing campaigns
print marketing
promotional materials
retailer marketing or wholesale marketing materials
derivative marketing assets or future marketing campaigns

Company may edit, crop, caption, combine, resize, or otherwise modify Ambassador Content as reasonably necessary for marketing purposes.

Ambassador also grants Company permission to use their:

name
likeness
image
voice
social media handle

in connection with the Ambassador Content.

Ambassador acknowledges that no additional compensation is owed beyond the products received.

6. Content Ownership Representation

Ambassador represents and warrants that:

they created the submitted content
they have full rights to grant the license described above
the content does not infringe the intellectual property rights of any third party
any individuals appearing in the content have consented to its use

7. Dropbox Access & File Security

Company may provide Ambassadors access to a shared Dropbox or similar file-sharing folder for the purpose of uploading Ambassador Content.

Ambassador agrees that they will:

use the folder solely for submitting Ambassador Content
not access, download, copy, or distribute files belonging to other Ambassadors
not share folder access links with any third party
not attempt to modify, delete, or interfere with files belonging to Company or other participants

Unauthorized access, copying, or distribution of files contained in the shared folder is strictly prohibited.

Company reserves the right to revoke file access at any time.

8. FTC Disclosure

If Ambassador chooses to post content featuring Movemama products on social media or other public platforms, Ambassador agrees to clearly disclose that the product was gifted as part of the Ambassador Program.

Appropriate disclosures include but are not limited to:

#gifted
#movemamaambassador
#giftedbyMovemama
or other clear disclosures compliant with Federal Trade Commission (FTC) endorsement guidelines.

Ambassador agrees to comply with all applicable advertising and endorsement laws.

9. Product Safety & Claim Restrictions

Ambassador agrees not to make medical, health, or safety claims regarding Movemama products unless such claims have been expressly approved by Company.

Ambassador may not represent Movemama products as providing medical benefits, therapeutic outcomes, or safety guarantees beyond their intended apparel function.

10. Product Resale Restriction

Products provided to Ambassadors through the Program are intended for personal use and content creation purposes only.

Ambassador agrees not to resell, list for resale, or otherwise commercially distribute gifted Movemama products for a period of six (6) months following receipt of the product.

This includes resale on platforms such as:

Poshmark
Mercari
eBay
Facebook Marketplace
or similar resale marketplaces.

Company reserves the right to remove individuals from the Ambassador Program if this policy is violated.

11. Brand Representation

Ambassador agrees not to create content that:

misrepresents Company products
includes offensive, discriminatory, or illegal content
damages the reputation of the Company

Company reserves the right to request removal of any publicly posted content that does not align with brand standards.

12. Independent Relationship

Ambassador participates as an independent individual and is not an employee, agent, or contractor of Company.

Nothing in this Agreement creates:

employment
partnership
agency
joint venture

between the parties.

13. Termination

Company may terminate Ambassador participation at any time for any reason.

Upon termination:

Ambassador may no longer represent themselves as a Movemama Ambassador
Company may revoke Dropbox access

The content usage license granted to Company survives termination of this Agreement.

14. Limitation of Liability

Company shall not be liable for any damages arising from participation in the Program.

Participation is voluntary and at Ambassador’s discretion.

15. Governing Law

This Agreement shall be governed by the laws of the State of North Carolina.

Any disputes shall be resolved in the courts located in North Carolina.

16. Entire Agreement

This Agreement represents the entire understanding between the parties regarding participation in the Ambassador Program and supersedes prior discussions or agreements.
